At Longwell corporate governance is a set of principles, policies, procedures, and clearly

defined responsibilities and accountabilities used by stakeholders to eliminate or reduce conflicts of interest inherent in the corporate form and thereby ensuring use of the company's assets in a manner consistent with the best interests of investors and other stakeholders.

The corporate governance system at Longwell effectively:

 Defines the rights of shareholders and other important stakeholders to the
     organization.
 Defines and communicate to stakeholders the oversight responsibilities of
     managers and directors.
 Provides clear and measurable accountability for managers and directors
     in assuming their responsibilities.
 Provides for fair and equitable treatment in all dealings between manager,
     directors, and stakeholders.
 Has complete transparency and accuracy in disclosures regarding      operations, performance, risk, and financial position.

Longwell bases its corporate governance structures and practices on Taiwan's Company, and Securities and Exchange Laws, and their related rules and regulations.

The independent auditing of Longwell is performed by PricewaterhouseCoopers.
